Scooly Experts Terms of AgreementWelcome to Scooly! By clicking [“I AGREE”], you or the entity on behalf of whom you are using the Scooly Platform (“you” or “Expert” “Lawyer” or “Consultant” as applicable) are entering into an agreement with Scooly Education Technology Inc. (“Scooly”, “us”, “we”, “our”), under which you will be bound by the terms and conditions (the “Terms and Conditions”) outlined below. If you do not agree to be bound by these Terms and Conditions, you must not access or use the Scooly Platform. Capitalized terms not otherwise defined here have the meaning set out in these Terms and Conditions.
1. IntroductionPurpose: These Terms and Conditions govern your use of the Scooly Platform and your provision of services through the Scooly Platform.Scope: This agreement applies to all services provided by you through the Scooly Platform.
2. DefinitionsPlatform: The Scooly website, application, and any related services provided by Scooly.Lawyer/Expert/Consultant: A licensed immigration consultant, immigration lawyer, or any other professional providing services through the Scooly Platform.Client: Any individual or entity seeking services from visa services through the Scooly Platform.
3. Acceptance of TermsBy accessing or using the Scooly Platform, you agree to comply with and be bound by these Terms and Conditions. Scooly reserves the right to modify these Terms and Conditions at any time. You are responsible for reviewing these Terms and Conditions periodically for updates.
4. EligibilityTo use the Scooly Platform
Be a licensed professional in good standing with relevant regulatory bodies.
Provide accurate, current, and complete information about yourself and your services.
Comply with all applicable laws and regulations.
5. Services Provided
Expert Services: As an Expert, you will provide professional services to Clients through the Scooly Platform, including but not limited to immigration consultancy, visa advising, immigration and visa services and other related services.
Quality of Service: You agree to provide high-quality, professional services to Clients and to act in the best interest of Clients at all times.
6. Compensation
Commission: Scooly will charge a 15% + 2.9% transaction fee on all services provided through the Platform. The fee will be deducted from the total payment received from Clients.
Payments: Payments will be processed through the Scooly Platform and will be disbursed to you according to Scooly's payment schedule.
7. Responsibility for Obtaining Client ConsentYou are responsible for obtaining signed personal information consents from Clients allowing you to share information with Scooly and its partners and authorizing you to act on behalf of the Clients.
8. Non-Solicitation and Non-Competition
Non-Solicitation: During the Term and for 18 months after these Terms and Conditions are terminated or expire, you must not solicit any Scooly Client to use products or services that directly compete with Scooly Services without Scooly's prior written consent.
Non-Competition: During the Term and for 18 months after these Terms and Conditions are terminated or expire, you must not create a platform to compete with the Scooly Platform.
9. ConfidentialityYou must keep the terms of these Terms and Conditions, your application form, and all information provided by Scooly confidential.
10. Limitation of Liability
Liability: Scooly will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses.
Professional Liability: As a legal service provider you must at all times have your professional liability insurance before providing services to clients.
11. Changes to Terms and ConditionsScooly reserves the right to change these Terms and Conditions at any time by posting a new version on the Scooly Platform. You are responsible for monitoring the Platform for any changes and reviewing such changes.
12. PrivacyBy providing us with any required registration and/or personal information, you agree that we may perform verification and screening services and will hold your information in accordance with our privacy policy (found at https://www.scooly.com/privacy-policy) and data governance practices as a data controller.
13. Term and Termination
Term: The initial term of this Agreement will be 12 months from the date that you agree to this Agreement and will automatically renew for subsequent 12-month terms on the anniversary of this Agreement.
Termination: Either party may terminate this Agreement with 30 days' written notice. Scooly may terminate this Agreement immediately if you breach any terms of this Agreement.
14. Governing LawThis Agreement shall be governed by and construed in accordance with the laws of the jurisdiction in which Scooly operates, without regard to its conflict of law principles.
15. Entire AgreementThis Agreement constitutes the entire agreement between you and Scooly regarding your use of the Platform and supersedes all prior agreements and understandings, whether written or oral.
